1. Promoter: The promoter of this contest is NorthWestern Corporation d/b/a NorthWestern Energy.
2. Eligibility: All active NorthWestern Energy customers over the age of 18 in Montana are eligible to enter to win the Promotion.
3. Employees Officers, Directors, or agents of NorthWestern Corporation and its affiliates, as well as the Employees, Directors, Officers, or agents of advertising, promotional, or other similar agencies under contract with NorthWestern or its affiliated companies are not eligible to participate in the Promotion. In the event an ineligible contestant enters and wins the Promotion, such result will be deemed invalid and the Promoter shall have the right to immediately re-claim any prizes awarded, or the cash value, as well as to pursue any other available remedy at law or equity. In such an event, the Promoter, may, at its sole discretion, hold a subsequent drawing to award the Prize to an eligible contestant.
4. Contest Term: begins on September 11, 2009 and ends at 3 p.m. on November 14, 2009. Winners will be announced by December 1, 2009 on the Company’s Public Web site: www.northwesternenergy.com. Winners will be notified telephonically by December 1, 2009. If a winning contestant cannot be notified or declines to accept a Prize by November 27, 2009, the Promoter may perform, at its sole discretion, a subsequent drawing to award a Prize to another qualified contestant.

6. Warranties Expressly Excluded. Promoter makes no warranty as to the performance, operation, or quality of the Prize Suite, or any individual component thereof, or any installation. Further Promoter expressly excludes all warranties, except those provided by the manufacturer, including but not limited to, warranty of merchantability and fitness for a particular purpose.
7. Limitation of Liability. Neither the Promoter (including its affiliates) nor its Officers, Directors, agents, employees, subcontractors, sponsors, or assigns shall be liable for any direct or indirect loss, injury or damage, including personal injury or death, arising from any entrant’s participation in the contest, nor for the prize winners in their fulfillment of the prize howsoever arising. In no event shall Promoter be liable for any indirect, consequential, incidental, special, exemplary, or punitive damages arising from or related to this Promotion or its performance, such as, but not limited to loss of revenue, anticipated profits, or business. In the event of damages arising from or related to this Agreement, its performance, enforcement, breach or termination, such as, but not limited to loss of revenue, anticipated profits, or business.
8. If required to do so, because of legislative, judicial, regulatory, or other governmental action or regulatory obligation, the Promotion may be terminated immediately and without notice. In the event of such termination, all participants acknowledge that by entering this contest they have agreed to waive any rights or cause of action they have arising out of the termination, and acknowledge they will have no recourse against the Promoter, its affiliates, agents, employees, officers, directors, subcontractors, successors, or assigns.
9. Dispute Resolution. In the event of any dispute, the decision of NorthWestern Energy is final and binding.
10. All participants by entering this contest acknowledge that they have read the rules and agree to be bound by their terms.
11. Right to Publish. The prize winners by accepting the prize assign all rights to the Promoter to publish their names and photographs in any promotion, print, point of sale or public relations material. The prizewinners by accepting the Prize Suite agree to appear and be identified, in or on national and regional media, at no fee.
